Huons N to Absorb Wholly Owned Subsidiary BioRosette Through Merger

- Integration of R&D, manufacturing and exports to strengthen global supply stability -

Huons Group’s Huons N announced that it will merge with its wholly owned subsidiary BioRosette to strengthen its health functional food manufacturing capabilities and improve operational efficiency.

Huons N (CEO Dongchul Son) signed a merger agreement with BioRosette, a company specializing in health functional food manufacturing, on April 30.

The merger will be carried out as a small-scale, no-consideration merger without the issuance of new shares. The board of directors approved the merger proposal on April 29, and the company plans to complete the merger on July 1 following shareholder notification and creditor objection procedures.

Through the merger, Huons N will secure production facilities certified under the Food Safety System Certification 22000 (FSSC 22000). The company plans to utilize the facilities as a strategic production base for overseas market expansion and accelerate its global business growth.

BioRosette, acquired by Huons N in November last year, specializes in OEM (Original Equipment Manufacturing) and ODM (Original Development Manufacturing) for health supplements. Its manufacturing facilities are certified under GMP (Good Manufacturing Practice) and HACCP (Hazard Analysis and Critical Control Points), enabling the production of six dosage forms including liquid, powder, tablets and hard capsules.

In addition, the company operates nine types of packaging systems, including stick packs, pouches, bottles and PTP (Press Through Pack) packaging.

Huons N aims to create new growth momentum by combining BioRosette’s manufacturing infrastructure with its own R&D capabilities and global network to enhance product competitiveness and supply chain stability.
