Huons N Completes Merger with Health Functional Food Manufacturing Subsidiary 'BioRosette'

Huons N, a life-care solutions company under the Huons Group, has significantly strengthened its manufacturing capabilities by completing the absorption merger of BioRosette, a health functional food manufacturing specialist and a 100% wholly-owned subsidiary.

Huons N (CEO Dongchul Son) announced on July 2 that the company has finalized the merger process for BioRosette. 

Following the board's resolution and the signing of the merger agreement in late April, Huons N completed all necessary legal procedures, including the creditor objection period. Moving forward, Huons N aims to accelerate operational efficiency and integrate its health functional food manufacturing capabilities. The transaction was structured as a small-scale, no-consideration merger without the issuance of new shares.

BioRosette is equipped with Good Manufacturing Practice (GMP) and Hazard Analysis and Critical Control Point (HACCP) certified facilities. The company operates production capabilities for six types of formulations—including liquids, powders, tablets, and hard capsules—alongside nine types of packaging lines. Through this merger, Huons N successfully combines its existing research and development (R&D) expertise and global network with BioRosette's robust manufacturing infrastructure.

In particular, internalizing production facilities certified under the Food Safety System Certification (FSSC 22000) is expected to significantly enhance Huons N's competitiveness in global business. The company plans to leverage these facilities as a key strategic outpost for targeting overseas markets and rapidly expanding its footprint in the global health functional food industry.
